Atresmedia has a series of bodies, controlmechanisms and internal rules
that comprise itsCorporateGovernance system. Itsobjective is togovern
andcontrol theOrganization transparentlyandefficiently, generatingval-
ue for shareholders andother stakeholders.
TheBoardof Directors is the fundamental piece in theCorporate
GovernanceSystemof Atresmediawhichensures theproper
operationof theorganization and cohesion amongdirectors, senior
management and shareholders.
The internal regulations of Atresmedia are as follows:
__Articles of Association.
__Board regulations.
__ShareholderMeeting regulations.
__Internal Conduct regulations on securitiesmarketmatters.
__Codeof Conduct.
__Rules of GoodGovernanceof FundaciónAtresmedia.
Atresmedia is also actively involved in the definition of standards and
good governance practices, participating in forums such as the Spanish
Association of Broadcasters, of which it is a founding partner and con-
tributes to thedevelopmentofCorporateGovernancestandardsandpro-
motingcommunicationandcooperationamong thevarious stakeholders.
Themainbody in this system is theBoardofDirectors, which is incharge
of the representation, administration, management and control of the
companyand is thepiece that ensures, togetherwith theChairman, Chief
ExecutiveOfficer and itsCommission, theproperoperationof theorgani-
zationaswell as thecohesionbetweendirectors, seniormanagementand
shareholders.
ThreeCommissions support theBoardof Directors in its duties: TheDel-
egate Commission, the Appointment and Remunerations Commission,
whichamongother functions is responsible for ensuring the fulfillment of
goodgovernance rules, and theAudit andControl Commission,which re-
ports to the Board on theAnnual CorporateGovernance Report (IAGC),
before it resolves on it. The IAGC is part of the company management
