remaining Committee meetings.

Lastly, in order to be duly informed so as to adequately carry out their functions, the directors will

frequently receive data relating to significant changes in the Company’s shareholder structure and the

opinion of the significant shareholders, investors and rating agencies on the Company and its Group.

Explain the rules

In accordance with article 14.2.f) of the Board of Directors' Regulations, the directors must offer their

resignation to the Board of Directors and resign accordingly should the Board deem it advisable when, in

the figure of director, circumstances arise that may adversely affect the Company's good standing and

reputation. In such cases, the director must immediately inform the Board about the criminal

proceedings in which he/she is involved as defendant, as well as the subsequent outcome.
