Any Board Member may suggest directorship candidates to the Appointments Committee, if he/she

considers them suitable.

The Remuneration Committee should have the following duties in addition to those stated in

the earlier Recommendations:

a)

To propose to the Board of Directors:

i)

The remuneration policy of directors and senior executives;

ii)

The individual remuneration of the executive directors and the remaining terms and

conditions of their contracts.

iii)

The basic terms and conditions of the contracts executed with senior executives.

b)

Oversee compliance with the remuneration policy set by the company.
